EMERGENCY NOTICE — READ FIRST

The Services allow you to find, schedule, and attend online sessions with independently licensed Providers. The following applies:
- Independent professional judgment. Each Provider is solely responsible for the care they provide, including assessment, diagnosis, treatment recommendations, and clinical documentation. Fromm Health does not direct or override a Provider's professional judgment.
- Provider's own terms. Before or at the start of care, a Provider will require you to review and accept the Provider's own informed consent, intake, telehealth consent, and engagement documentation. Those documents — not these Terms — govern the clinical relationship between you and that Provider.
- No guarantee of a particular Provider or outcome. Fromm Health does not guarantee the availability of any particular Provider, appointment time, or clinical outcome. Results are not guaranteed.
- Provider's right to decline or terminate care. A Provider may, consistent with professional and ethical obligations, decline to begin or continue care, including where the Services are not clinically appropriate for your needs, and may refer you to a higher level of care.
- Telehealth limitations. Online care has inherent limitations compared to in-person care. Technical issues, connectivity problems, or the remote format may affect a session. You acknowledge and accept these limitations.
- Verification. Fromm Health takes reasonable steps to confirm that Providers hold applicable licenses, but you acknowledge that Fromm Health does not guarantee the credentials, competence, or conduct of any Provider, and that responsibility for care rests with the Provider.
Fromm Health may change, modify, enhance, suspend, or terminate the Services, or any portion of them, at any time. If you do not agree with a change, your sole remedy is to stop using the Services.
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT. You and Fromm Health agree that these Terms affect interstate commerce and that the Federal Arbitration Act governs the interpretation and enforcement of these arbitration provisions. If a dispute, claim, or controversy between you and Fromm Health is not resolved informally, you agree to resolve it through final and binding arbitration, with the following exceptions:
- You may assert a qualifying dispute in small claims court.
- Either party may bring suit in court in [Delaware] solely for a claim of infringement or misuse of intellectual property rights, and both parties waive any right to a jury trial for such claims.
- You may bring a qualifying matter to the attention of a relevant federal, state, or local agency.
Notice of Dispute. Before initiating arbitration, you agree to send Fromm Health a written Notice of Dispute describing the issue and the relief you seek. If we do not resolve the dispute within 30 days after receipt, either party may initiate arbitration.
Arbitration Rules. Arbitration will be conducted by
[JAMS / AAA] under its applicable consumer or streamlined rules in effect at the time arbitration is initiated, excluding any rules permitting class actions. The arbitrator has exclusive authority to resolve disputes arising out of or relating to the interpretation, applicability, enforceability, or formation of these Terms. The arbitrator's award is binding and may be entered as a judgment in any court of competent jurisdiction. Arbitration may take place in the county where you reside at the time of filing.
Arbitration Fees. You will pay the lesser of (a) $250 or (b) the amount you would pay to file a complaint in state court. Fromm Health will pay all other arbitration provider and arbitrator fees, unless the arbitrator determines your claim was filed for an improper purpose. Each party is responsible for its own attorneys' fees unless applicable law or the arbitration rules provide otherwise.
No Class Actions. You and Fromm Health each agree that disputes will be resolved only on an individual basis, and not as a plaintiff or class member in any class, consolidated, or representative action. If a court or arbitrator determines this class action waiver is unenforceable, then Fromm Health may elect not to arbitrate. Except as expressly provided, if any portion of this Arbitration and Class Action Waiver is found unenforceable, the remaining portions remain in effect.
Right to Opt Out. You may opt out of this Arbitration and Class Action Waiver by sending written notice within 30 days of first accepting these Terms. Your notice must include your name, the email address associated with your account, and a clear statement that you wish to opt out of arbitration. Send your notice to
[legal@frommhealth.com]. Opting out will not affect any other provision of these Terms.
Changes to This Section. Fromm Health will provide thirty (30) days' notice of any changes affecting the substance of this section. Amendments become effective thirty (30) days after they are posted or sent to you.
Survival. This Dispute Resolution section survives termination of your account or the Services.
If a dispute arises between you and Fromm Health, our goal is to resolve it. If you have a concern or dispute about the Services, you agree to first try to resolve it informally by contacting us using the Contact Information section below. Disputes about the clinical care provided in a Provider Session are between you and the Provider and are governed by the Provider's own documentation; this section governs disputes between you and Fromm Health about the platform.
Governing Law and JurisdictionThese Terms are governed by and construed in accordance with the laws of the State of [Delaware], excluding its conflict-of-law rules.
You agree to defend, indemnify, and hold harmless Fromm Health and its officers, directors, employees, contractors, licensors, and agents from any claims, losses, liabilities, damages, costs, and attorneys' fees arising out of or in connection with: (i) your misuse of the Services; (ii) your breach of these Terms or our Privacy Notice; (iii) the content of any information you provide; (iv) your violation of any law or the rights of a third party; or (v) your use or misuse of Your Devices. Fromm Health may assume the exclusive defense of any matter subject to indemnification, and you agree not to settle any such matter without our prior written consent.
TO THE MAXIMUM EXTENT PERMITTED BY LAW: (a) FROMM HEALTH IS NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY DAMAGES FOR PERSONAL OR BODILY INJURY OR EMOTIONAL DISTRESS, ARISING OUT OF OR RELATING TO THE SERVICES, THE AI FEATURES, PROVIDER REPORTS, ANY PROVIDER SESSION, ANY CONTENT OR INFORMATION IN THE SERVICES, YOUR DEVICES, OR ANY LINKED WEBSITE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT ADVISED OF THE POSSIBILITY OF SUCH DAMAGES; AND (b) YOUR SOLE REMEDY FOR DISSATISFACTION WITH THE SERVICES IS TO STOP USING THEM.
FROMM HEALTH IS NOT LIABLE FOR ANY HARM CAUSED BY THE NEGLIGENCE OR MISCONDUCT OF ANY PROVIDER, WHETHER OR NOT RELYING UPON INFORMATION COLLECTED, GENERATED, OR STORED VIA THE SERVICES.
YOU ACKNOWLEDGE THAT IF YOU USE THE SERVICES DURING OR IN RELATION TO AN EMERGENT, SERIOUS, OR LIFE-THREATENING CONDITION, SUCH USE IS AT YOUR SOLE RISK. FROMM HEALTH IS NOT LIABLE TO YOU OR ANY PERSON FOR ANY DECISION MADE OR ACTION TAKEN IN RELIANCE UPON INFORMATION INCLUDED AS PART OF THE SERVICES.
TO THE EXTENT LIABILITY CANNOT BE EXCLUDED, IN NO EVENT SHALL FROMM HEALTH'S TOTAL LIABILITY EXCEED THE GREATER OF (i) $100 OR (ii) THE AMOUNTS YOU PAID TO FROMM HEALTH (EXCLUDING FEES PAID TO PROVIDERS) IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW, INCLUDING LIABILITY FOR GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR FRAUD. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
TO THE MAXIMUM EXTENT ALLOWED BY APPLICABLE LAW, AND EXCEPT AS EXPRESSLY PROVIDED HEREIN: (a) FROMM HEALTH DISCLAIMS ALL WARRANTIES REGARDING THE SERVICES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF NON-INFRINGEMENT, ACCURACY, MERCHANTABILITY, AND FITNESS FOR A PARTICULAR PURPOSE; (b) FROMM HEALTH DOES NOT WARRANT THAT THE SERVICES WILL MEET YOUR REQUIREMENTS, BE UNINTERRUPTED, OR BE ERROR-FREE; AND (c) THE SERVICES ARE PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS.
FROMM HEALTH IS A TECHNOLOGY PLATFORM AND DOES NOT PROVIDE HEALTH CARE. FROMM HEALTH DOES NOT WARRANT OR GUARANTEE THE QUALITY, COMPETENCE, CREDENTIALS, OR CONDUCT OF ANY PROVIDER, THE CARE PROVIDED IN ANY PROVIDER SESSION, OR ANY OUTPUT OF THE AI FEATURES. Any use of Your Devices is solely at your risk and subject to the applicable third-party provider's terms and privacy policies.
The Services and their contents, features, and functionality (including all information, software, text, displays, images, video, audio, and the design, selection, and arrangement thereof) are owned by Fromm Health, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other laws. Except as expressly set forth in these Terms, no licenses or rights are granted to you by implication or otherwise. All rights not expressly granted are reserved.
This section does not affect your ownership of, or rights in, your own health information and records, which are addressed in our
Privacy Notice and by applicable law, and which (for clinical records) are maintained by your Provider.
If you are able to post content through the Services, the Digital Millennium Copyright Act of 1998 (the "DMCA") applies. If you believe in good faith that material in the Services infringes your copyright, you may send a notice requesting removal to our designated agent via the methods in the Contact Information section. Notices and counter-notices must meet the DMCA's statutory requirements.
The Services may include links to third-party websites or resources ("Third-Party Sources"). Fromm Health does not endorse and is not responsible for the availability, terms, privacy practices, or content of any Third-Party Source. Your use of Third-Party Sources is at your own risk.
If you provide comments, suggestions, ideas, or feedback about the Services ("Feedback"), you agree that Fromm Health may freely use, copy, modify, and exploit that Feedback in any manner, without obligation or compensation to you.
The Fromm Health mobile application is intended for use only on mobile devices that run an unmodified, manufacturer-approved operating system. Using the application on a device with a modified or "jailbroken" operating system may undermine security features intended to protect your information from unauthorized disclosure and may compromise the confidentiality and integrity of sensitive health information you provide through the Services. Use of the application on a device with a modified operating system is a material breach of these Terms.
When you register and use the Services, you agree to:
- provide accurate, complete, and non-misleading information that you own or have the right to use, and update it if it changes;
- use the Services only for your own personal, non-commercial use;
- comply with all applicable laws, regulations, and ordinances;
- maintain the confidentiality and security of your username and password and immediately notify Fromm Health of any unauthorized use of your account;
- be fully responsible for all activity on your account, regardless of whether you were aware of it;
- not record, copy, distribute, or share any Provider Session or any aspect of the Services with a third party, except as permitted by law and with the consent of all participants;
- not impersonate any person or entity, or use email addresses or screen names associated with another person without authorization;
- not resell, sublicense, or commercially exploit the Services, the Services' content, or any User Information, or use the Services for the benefit of any third party;
- not use, evaluate, or view the Services for the purpose of designing or developing any competing product or service or any environment, software, model, or algorithm that performs similar functions;
- not use any manual or automated process, bot, crawler, scraper, or similar tool to harvest, monitor, or collect information from the Services, or to monitor or copy content from the Services for any unauthorized purpose;
- not circumvent, disable, or interfere with security-related features of the Services;
- not interfere with, disrupt, damage, or compromise the Services or supporting systems, including by submitting viruses, worms, trojans, or other harmful code, or by overloading, "flooding," "spamming," or "crashing" the Services;
- not access content or data not intended for you, or log onto a server or account you are not authorized to access, or probe, scan, or test the vulnerability of the Services or their supporting systems;
- not attempt to decipher, decompile, disassemble, or reverse engineer any code or software used to provide the Services;
- not post or transmit unsolicited advertising or solicitations through the Services;
- not post, upload, publish, submit, or transmit content that (i) infringes a third party's intellectual property or privacy rights; (ii) violates applicable law or gives rise to civil liability; (iii) is fraudulent, defamatory, obscene, vulgar, harassing, or threatening; or (iv) promotes discrimination, violence, or illegal activities;
- not use the Services or the marketplace to solicit Providers or users off-platform in violation of these Terms;
- not exploit, harm, or attempt to exploit or harm minors in any way; and
- not assist or permit any third party to do any of the above.
Fromm Health is not obligated to monitor your use of the Services, but may do so to ensure compliance with these Terms and to respond to law enforcement or other government agencies when required. Fromm Health may take appropriate legal action, including referral to law enforcement, for any illegal or unauthorized use of the Services.
Electronic Notices and Signatures
You agree that any notices, agreements, disclosures, or other communications that we send to you electronically will satisfy any legal communication requirements, including any requirement that such communications be in writing. You consent and agree that your use of a finger, keypad, mouse, or other device to select an item, button, icon, or similar act while using the Services, or in accessing or making any transactions regarding any agreement, acknowledgment, consent, terms, disclosures, or conditions, constitutes your signature, acceptance, and agreement as if actually signed by you in writing. You should maintain copies of electronic communications from us by printing a paper copy or saving an electronic copy.
Privacy of Electronic Communications
You acknowledge that electronic communications may be unencrypted and carry some risk that the information in the messages, including information about your health, could be read by an unauthorized person. Fromm Health cannot guarantee the security and confidentiality of unencrypted communications that we send to you and is not responsible for any unauthorized access that occurs during or after the transmission of the communications to you. Do not include sensitive health information in unencrypted email to us. See our
Privacy Notice for more.
How We Communicate with You
As part of providing the Services, we need to communicate with you by sending appointment reminders, program information, service announcements, notices, administrative messages, and other communications ("
Communications"). You agree that we may send Communications by: (1) email to the address you provide; (2) SMS or other text messages to the mobile phone number you provide; (3) push notifications on your device; and (4) within the Services. Delivery is effective when sent, regardless of whether you read it. These Communications are part of your relationship with us. You are responsible for any internet, data, or mobile messaging charges you incur. You can choose to filter Communications using your email or device settings, but certain transactional or service-related Communications are necessary to provide the Services and cannot be opted out of while you maintain an account. You can withdraw consent to receive non-essential marketing Communications by contacting
[daniel@frommhealth.com] or using the unsubscribe link in an email.
You can stop using the Services and terminate your account at any time. Terminating your account does not automatically cancel a subscription purchased through a third-party platform, and does not by itself terminate your clinical relationship with a Provider, which is governed by that Provider's documentation.
Fromm Health may suspend or terminate your access to the Services if: (1) you are no longer eligible; (2) you stop paying applicable fees; or (3) for cause, including a belief that your conduct or use of the Services fails to comply with these Terms, breaches applicable law, is harmful to Fromm Health, Providers, or other users, or is abusive, harassing, threatening, or otherwise inappropriate or illegal.
If your access is terminated, Fromm Health will have no further obligation to provide the Services, except that, where required by applicable law, we will provide a means to access or export certain information associated with your account for a limited period. Your Provider remains independently responsible for your clinical records and for professional and legal obligations regarding records access, continuity of care, and appropriate referral.
You authorize Fromm Health and its payment processors to charge your Payment Method for amounts you owe, and to securely store your Payment Method. You are responsible for keeping your Payment Method current. You represent that any payment information you supply is true, correct, and complete, and that you are authorized to use the Payment Method. If you have a question about a charge, contact us at
[daniel@frommhealth.com] before initiating a chargeback. You agree not to initiate a chargeback for charges consistent with the disclosures at checkout and these Terms.
Fees for Provider Sessions are set by each Provider and are displayed at the time of booking. Provider Session fees are separate from, and in addition to, your subscription fee.
Payment for Provider Sessions is processed through Fromm Health's third-party payment processor. Fromm Health collects Provider Session fees on behalf of Providers as their limited payment agent and remits the applicable amount to the Provider, less Fromm Health's platform technology fee. Cancellation, rescheduling, late-arrival, and no-show policies for Provider Sessions are set by each Provider and disclosed before you book. Refunds for Provider Sessions, if any, are governed by the applicable Provider's policy and applicable law.
Fromm Health charges Providers a platform technology and access fee for use of the Services. Fromm Health's compensation does not depend on the clinical content of any Provider Session.
You can purchase a subscription to the Fromm Health application and platform through the Fromm Health mobile application or on [
www.frommhealth.com]. The subscription gives you access to the AI Assistant, the Provider marketplace, and related platform features.
The subscription fee does not pay for, and is separate from, the cost of any Provider Session.Acceptable payment methods are credit and debit cards issued by U.S. banks or digital wallets (e.g., Apple Pay or Google Pay) associated with a U.S. address (your "
Payment Method"). We will charge your Payment Method on the schedule and at the amount disclosed at checkout, plus applicable taxes.
If we change subscription pricing, we will provide notice and the new price will apply starting with your next renewal after the notice, unless applicable law requires a different notice period or your express consent. Except where required by applicable law or expressly stated at checkout, subscription fees are non-refundable, and we do not provide prorated refunds or credits for partial subscription periods.
Your subscription will automatically renew for successive renewal periods (e.g., monthly or annual) unless you cancel before your cancellation cutoff date. Unless otherwise disclosed at checkout, cancellation takes effect at the end of your then-current paid period, and you retain access until that period ends. To cancel, go to your account settings and select "Cancel subscription," or contact us at
[daniel@frommhealth.com]. If you purchased a subscription through Apple's App Store, Google Play, or another third-party platform, that platform processes payment and controls cancellation and refunds under its own terms; you must cancel through that platform to stop renewal charges.
The Services have two separate types of charges: (1) a subscription to the Fromm Health application and platform, and (2) fees for Provider Sessions.
You may connect personal third-party devices, wearables, or online services to the Services ("
Your Devices"). You are responsible for the operation, security, and cost of Your Devices and your internet connection. Fromm Health does not guarantee that Your Devices will connect to or work with the Services, does not guarantee the accuracy of third-party data, and is not responsible for the delay, failure, interruption, or corruption of data transmitted in connection with your use of the Services. Any use of Your Devices is subject to our
Privacy Notice.
With your prior, specific, and revocable authorization, the AI Assistant may generate and share Provider Reports — summaries of your status, activity, and progress derived from your use of the Services — with a Provider you have selected, including between scheduled sessions.
- Authorization required. Provider Reports are shared only if you have given explicit authorization. You can review, narrow the scope of, or revoke this authorization at any time through your account settings or by contacting us. Revocation applies going forward and does not affect information already shared.
- Not monitored in real time. Provider Reports are a convenience feature to support continuity of care. They are not a monitoring, surveillance, or crisis-detection service. Neither Fromm Health nor any Provider continuously monitors Provider Reports, and you should not expect anyone to review a Provider Report and intervene in real time. In a crisis, contact 988 or 911 — do not rely on the AI Assistant or Provider Reports.
- Provider discretion. Whether and how a Provider uses a Provider Report is within that Provider's professional judgment.
- Accuracy. Provider Reports are generated by AI Features and may contain errors or omissions. They supplement, and do not replace, direct communication between you and your Provider.
Subject to these Terms, Fromm Health grants you a personal, non-exclusive, non-transferable, non-sublicensable, revocable, limited license to use the Services for your own personal, non-commercial use only.
As part of the Services, you will interact with the AI Assistant using text, voice, and/or other input. The AI Assistant processes inputs you provide and generates responses ("
Outputs") partially or entirely through computer software and algorithms that employ machine learning and artificial intelligence ("
AI Features"). The AI Assistant does not diagnose or treat any physical or mental health condition and does not make any decisions about your health, and is not intended to be a substitute for professional medical or mental health advice, diagnosis, or treatment.
Fromm Health strives to employ AI Features in a safe and responsible manner, with testing, controls, and ongoing human oversight. However, Outputs are generated through machine learning processes, are
not tested, verified, endorsed, or guaranteed to be accurate, complete, or current by Fromm Health, and should not be considered official statements or responses from Fromm Health in response to your specific situation or inputs.
You should independently review and verify all Outputs, because they may not accurately reflect or correctly respond to input you provide. You should not rely on the AI Assistant for medical, mental health, legal, financial, or safety decisions, and you must not use it in an emergency. Always consult a qualified licensed professional regarding your health.
You agree not to intentionally bypass capabilities or restrictions established within the AI Features for the purposes of instructing the model to produce harmful outputs (for example, prompt-injection attacks, jailbreaks, or attempts to extract training data or system instructions). Such conduct is a material breach of these Terms.
The warranty disclaimers and limitations of liability in these Terms apply to the AI Features and to any Outputs. The AI Assistant processes your information as described in our
Privacy Notice.
To use the Services, you must (1) register for an account, (2) be at least 18 years of age, (3) be located in a U.S. state where the Services are available and, for Provider Sessions, where a Provider licensed in that state is available, and (4) meet any additional eligibility criteria we or a Provider may apply. You may not create multiple accounts. By creating an account, you give Fromm Health permission to provide the Services to you. Fromm Health may accept or reject any applicant in its discretion and consistent with applicable law.
The Services are intended for use only in the United States and may be used only by individuals 18 years of age and older.
IF YOU ARE IN THE UNITED STATES AND YOU ARE HAVING THOUGHTS OF SUICIDE OR SELF-HARM, OR ARE EXPERIENCING A MENTAL HEALTH CRISIS, PLEASE CALL OR TEXT 988, THE SUICIDE AND CRISIS LIFELINE, OR GO TO YOUR NEAREST EMERGENCY ROOM. The AI Assistant and Provider Reports are not crisis services, are not monitored in real time, and may not detect or appropriately respond to a crisis.
THE SERVICES ARE NOT FOR EMERGENCIES. CALL 911 OR YOUR LOCAL EMERGENCY SERVICES FOR ALL MEDICAL EMERGENCIES.
THE AI ASSISTANT IS FOR INFORMATIONAL AND WELLNESS-SUPPORT PURPOSES ONLY AND DOES NOT CONSTITUTE HEALTH CARE OR THE PRACTICE OF ANY LICENSED PROFESSION. The AI Assistant cannot replace the services of psychologists, psychiatrists, physicians, or other licensed professionals. Interacting with the AI Assistant does not create a provider-patient relationship.
Your selection of a Provider is your own decision. The professional relationship formed during a Provider Session is solely between you and that Provider, and is governed by that Provider's own informed consent, intake, telehealth consent, and engagement documentation.
Provider Sessions are delivered by independently licensed mental health professionals who are not employees or agents of Fromm Health. Each Provider is an independent practitioner solely responsible for the care they provide and for their own compliance with applicable professional, licensing, and legal requirements. Fromm Health does not control, direct, or interfere with the professional judgment of any Provider. Fromm Health does not refer you to any particular Provider and does not endorse, recommend, credential, or guarantee any Provider; listing on the platform is not an endorsement.
Fromm Health is a technology platform. Fromm Health does not practice medicine, psychology, social work, counseling, or any other licensed health profession, and does not provide health care, medical advice, diagnosis, or treatment.
Fromm Health Is a Platform — It Does Not Provide Health Care
IMPORTANT NOTICE REGARDING DISPUTE RESOLUTION: These Terms contain a mandatory arbitration agreement and class action waiver that affect your legal rights. Please review the "Arbitration and Class Action Waiver" section carefully.
The Services are owned and provided by Fromm Health, Inc., a Delaware corporation, and its affiliates ("Fromm Health," "we," "us," or "our").
By accessing or using the Services, you agree to be bound by these Terms and Conditions (the "
Terms"), our
Privacy Notice, and any additional optional consents you provide, each of which are incorporated herein by reference.
The Services include: (a) an AI-powered assistant that provides personalized wellness support, insights, and check-ins ("AI Assistant"); (b) a marketplace through which you can find, schedule, and attend online sessions with independently licensed mental health professionals ("Provider Sessions"; the professionals, "Providers"); and (c) the ability, with your authorization, for the AI Assistant to share reports about your status and progress with a Provider you have selected, including outside of scheduled sessions ("Provider Reports").
